(2) A document shall be deemed to be certified as a true copy if it is duly certified as such- (a) in the company's place of incorporation- (i) by an official of the government of that place to whose custody the original of the document is committed; (ii) by a notary public practising in that place; (iii) by a lawyer practising in that place; (iv) by a professional accountant practising in that place; (v) by an officer of a court of law duly authorized by the law of that place to certify documents for any judicial or other legal purpose; or (vi) by a professional company secretary practising in that place; (b) in Hong Kong- (i) by a notary public practising in Hong Kong; (ii) by a solicitor practising in Hong Kong; (iii) by a certified public accountant (practising) within the meaning of section 2 of the Professional Accountants Ordinance (Cap 50); (10 of 2005 s. 226) (iv) by an officer of the court in Hong Kong who is authorized by law to certify documents for any judicial or other legal purpose; (v) by a consular officer of the place of incorporation of the company; or (vi) by a professional company secretary practising in Hong Kong; (c) by an officer of the company; or (d) by the authorized representative of the company. (30 of 2004 s. 3) COMPANIES (FORMS) REGULATIONS - REGULATION 3 Certified copy of charter, etc. under section 333 VerDate:30/06/1997 A certified copy of the charter, statutes, or memorandum and articles of the company or other instrument constituting or defining the constitution of the company, and a certified copy of the company's certificate of incorporation, and a certified copy of the latest accounts of the company, required to be delivered to the Registrar under section 333 of the Ordinance in the case of a company incorporated outside Hong Kong under the laws of another jurisdiction shall be deemed to be certified as a true copy if in such other jurisdiction it is- (a) duly certified as a true copy by an official of the Government to whose custody the original is committed; or (b) duly certified as a true copy by a notary public of such other jurisdiction. (L.N. 375 of 1995) COMPANIES (FORMS) REGULATIONS - REGULATION 4 (Repealed 30 of 2004 s. 3) VerDate:11/07/2008 COMPANIES (FORMS) REGULATIONS - REGULATION 4 Time for delivering particulars of alterations under section 335 VerDate:30/06/1997 The time within which a return containing the particulars of alterations is to be delivered to the Registrar under section 335 of the Ordinance shall be 21 days after the date of making of such alterations or 21 days after the date on which notice thereof could in due course of post and if dispatched with due diligence have been received in Hong Kong. COMPANIES (FORMS) REGULATIONS - REGULATION 5 Verified or certified copy of change under sections 80 and 82 VerDate:30/06/1997 A copy of the instrument by which a charge is created or evidenced to be delivered to the Registrar under the provisions of sections 80(3) and 82(1) of the Ordinance shall be verified or certified to be a true copy under the seal of the company, or under the hand of some person interested therein otherwise than on behalf of the company. COMPANIES (FORMS) REGULATIONS - REGULATION 5A (Repealed 30 of 2004 s. 3) VerDate:20/04/2007 COMPANIES (FORMS) REGULATIONS - REGULATION 5A Certification of accounts of company to which Part XI of Ordinance applies VerDate:30/06/1997 (1) A copy of the balance sheet, profit and loss account, group accounts, director's report or other document to be delivered to the Registrar under section 336(1) of the Ordinance shall be certified to be a true copy under the hand of a director, the secretary or other principal officer of the company. (2) In this paragraph "principal officer" (主要高級人員) includes a principal officer of the company in Hong Kong. (L.N. 240 of 1975) "principal officer" (主要高級人員) COMPANIES (FORMS) REGULATIONS - REGULATION 6 Translations VerDate:20/04/2007 (1) A translation of a document shall be deemed to be a certified translation in the prescribed manner for the purposes of the Ordinance if- (a) it is certified by the person making the translation to be a correct translation; and (b) the person making the translation is believed to be a person who is competent in translating a document into the English or Chinese language, as the case may be, by and is so certified by a person referred to in subparagraph (2). (2) A person may make a certification under subparagraph (1)(b) if he is- (a) where the translation is made in a place outside Hong Kong- (i) a notary public practising in that place; (ii) a lawyer practising in that place; (iii) a professional accountant practising in that place; (iv) an officer of a court of law duly authorized by the law of that place to certify documents for any judicial or other legal purpose; (v) a consular officer in that place; (vi) a professional company secretary practising in that place; or (vii) such other person as may be specified by the Registrar; or (b) where the translation is made in Hong Kong- (i) a notary public practising in Hong Kong; (ii) a solicitor practising in Hong Kong; (iii) a certified public accountant (practising) within the meaning of section 2 of the Professional Accountants Ordinance (Cap 50); (10 of 2005 s. 226) (iv) a consular officer in Hong Kong; or (v) a professional company secretary practising in Hong Kong. (30 of 2004 s. 3) COMPANIES (FORMS) REGULATIONS - REGULATION 6 Translations VerDate:30/06/1997 A translation of a charter, statutes or memorandum and articles of association or other instrument constituting or defining the constitution of a company or any account or document required to be delivered to the Registrar of Companies under the Ordinance shall be certified by the person making such translation to be a correct translation and shall be deemed to be certified in the prescribed manner if the person making such translation be certified by the appropriate person hereunder mentioned to be believed by him to be competent to translate it into the English or Chinese language, as the case may be, that is to say- (L.N. 375 of 1995) (a) If the translation be made outside Hong Kong- (i) A notary public in the place where the translation is made; or (ii) Such other person as may be specified by the Registrar; (L.N. 375 of 1995) (b)-(e) (Repealed L.N. 375 of 1995) (f) If the translation be made in Hong Kong- (i) A notary public in Hong Kong, or (ii) A solicitor of the High Court of Hong Kong. (92 of 1975 s.59) COMPANIES (FORMS) REGULATIONS - REGULATION 7 Provision for particular cases VerDate:30/06/1997 The Registrar of Companies may in any particular case, if he thinks fit to do so and upon such conditions as he thinks fit, permit certified copies or translations to be delivered to him though not certified in accordance with the above requirements. COMPANIES (FORMS) REGULATIONS - REGULATION 8 Mode of delivery of notice VerDate:30/06/1997 (1) Where notice is given by a transferee company pursuant to section 168 of, and the Ninth Schedule to, the Ordinance, such notice shall be given to the dissenting shareholder either personally in Hong Kong or by sending it by registered post to him at his address in Hong Kong registered in the books of the transferor company or (if he has no address in Hong Kong so registered) to the address, if any, in Hong Kong supplied by him to the transferor company for the giving of notice to him. (3 of 1997 s. 66) (2) In any case in which a dissenting shareholder has no such address the transferee company may apply to the Registrar of Companies for a direction as to the manner in which such notice shall be given.
