In this Order, unless the context otherwise requires, the expressions 
"prospective" (發行章程), "share" (股份) and "debenture" (債券) have the 
respective meanings assigned to them by the Companies Ordinance (Cap 32).

Nothing in this Order shall apply in relation to-

        (a)	prospectuses of mutual fund corporations, as defined by section 
2(1) of the Securities Ordinance (Cap 333);

        (b)	functions conferred upon the Commission by virtue of section 13 
of the Exchanges and Clearing Houses (Merger) Ordinance (Cap 555) or 
section 34 of the Stock Exchanges Unification Ordinance (Cap 361) or any 
rules made under either of those sections.

Transfer of functions of the Commission VerDate:30/06/1997



The functions conferred upon the Commission by sections 38B(2A)(b), 38D(3) 
and (5) and 342C(3) and (5) of the Companies Ordinance (Cap 32) are 
transferred to the Stock Exchange Company to the extent that they relate 
to any prospectus which is concerned with any shares in or debentures of a 
company that have been approved by the Stock Exchange Company for listing 
on the Unified Exchange.

The Stock Exchange Company is entitled to charge and retain any fees 
which, had this Order not been made, would be payable to the Commission 
under the Securities and Futures Commission (Fees) Rules (Cap 24 sub. 
leg.) in relation to the performance by the Commission of the functions 
which are transferred to the Stock Exchange Company by this Order.
